Smlouva o seri\u00f3znosti pen\u011bz, podepsan\u00e1 stranami (kupuj\u00edc\u00edm a prod\u00e1vaj\u00edc\u00edm), potvrzuje, \u017ee tyto strany dos\u00e1hly dohody o ot\u00e1zce koup\u011b a prodeje konkr\u00e9tn\u00ed nemovitosti (nebo nemovitost\u00ed) a jsou p\u0159ipraveny p\u0159istoupit k ofici\u00e1ln\u00edmu proveden\u00ed transakce, tzn. podepsat not\u00e1\u0159sk\u00fd z\u00e1pis o prodeji. P\u0159i podpisu smlouvy o slo\u017een\u00ed z\u00e1lohy slo\u017e\u00ed kupuj\u00edc\u00ed na budouc\u00ed obchod ur\u010ditou \u010d\u00e1stku \u2013 z\u00e1lohu, kter\u00e1 je zaznamen\u00e1na v dokumentu a kter\u00e1 bude zohledn\u011bna p\u0159i kone\u010dn\u00e9 platb\u011b za p\u0159\u00edtomnosti not\u00e1\u0159e. V\u00fd\u0161e vkladu se obvykle pohybuje od 5 do 15 % z ceny transakce.<\/p>\n<h2> Co je smlouva o vkladu ve \u0160pan\u011blsku?<\/h2>\n<p> Contrato de Arras (smlouva o v\u00fdd\u011blc\u00edch) je p\u00edsemn\u00e1 dohoda mezi kupuj\u00edc\u00edm a prod\u00e1vaj\u00edc\u00edm o vz\u00e1jemn\u00e9m uzn\u00e1n\u00ed pr\u00e1v a povinnost\u00ed ohledn\u011b pl\u00e1novan\u00e9 transakce. Podm\u00ednky smlouvy o vkladu jsou z\u00e1vazn\u00e9 pro ob\u011b strany. Kupuj\u00edc\u00ed si podpisem smlouvy o depozitu rezervuje nemovitost na dobu ur\u010ditou, b\u011bhem kter\u00e9 se p\u0159ipravuje na obchod (nap\u0159. sh\u00e1n\u00ed financov\u00e1n\u00ed, p\u0159ipravuje n\u011bjak\u00e9 dokumenty apod.). Smlouva o depozitu ve \u0160pan\u011blsku nen\u00ed povinn\u00e1: strany se dobrovoln\u011b rozhodnou, zda ji podep\u00ed\u0161\u00ed \u010di nikoli. Smlouva o seri\u00f3zn\u00edch pen\u011bz\u00edch je zpravidla vyhotovena v jednoduch\u00e9 p\u00edsemn\u00e9 form\u011b, podeps\u00e1na stranami a nevy\u017eaduje \u017e\u00e1dnou dal\u0161\u00ed registraci. V t\u00e9to podob\u011b m\u00e1 Contrato de Arras plnou pr\u00e1vn\u00ed s\u00edlu ve \u0160pan\u011blsku. Z\u00e1rove\u0148 nic nem\u016f\u017ee stran\u00e1m br\u00e1nit v tom, aby si tuto dohodu nechaly not\u00e1\u0159sky ov\u011b\u0159it: t\u00edm se nestane legitimn\u011bj\u0161\u00ed, ale m\u016f\u017ee to stran\u00e1m d\u00e1t d\u016fv\u011bru ve spolehlivost a transparentnost transakce. Chcete-li to prov\u00e9st, m\u016f\u017eete kontaktovat absolutn\u011b jak\u00e9hokoli not\u00e1\u0159e. Po podpisu smlouvy o seri\u00f3zn\u00edch pen\u011bz\u00edch jsou ob\u011b strany v\u00e1z\u00e1ny smluvn\u00edm vztahem: prod\u00e1vaj\u00edc\u00ed (el Vendedor) se zavazuje prodat nemovitost uvedenou ve smlouv\u011b kupuj\u00edc\u00edmu za cenu stanovenou stranami a kupuj\u00edc\u00ed (el Comprador) se zavazuje tuto nemovitost koupit.<\/p>\n<h2> Obsah seri\u00f3zn\u00ed dohody o pen\u011bz\u00edch ve \u0160pan\u011blsku<\/h2>\n<p> Smlouva o seri\u00f3zn\u00edch pen\u011bz\u00edch ve \u0160pan\u011blsku mus\u00ed obsahovat v\u0161echny pot\u0159ebn\u00e9 informace t\u00fdkaj\u00edc\u00ed se p\u0159edm\u011btu transakce i jej\u00edch stran. Text mus\u00ed obsahovat n\u00e1sleduj\u00edc\u00ed informace:<\/p>\n<ul>\n<li> Osobn\u00ed \u00fadaje prod\u00e1vaj\u00edc\u00edho a osobn\u00ed \u00fadaje kupuj\u00edc\u00edho: jejich jm\u00e9na (v p\u0159\u00edpad\u011b fyzick\u00fdch osob) nebo ofici\u00e1ln\u00ed jm\u00e9na (v p\u0159\u00edpad\u011b pr\u00e1vnick\u00fdch osob), \u010d\u00edsla doklad\u016f toto\u017enosti, adresy bydli\u0161t\u011b nebo registrace, postaven\u00ed, ve kter\u00e9m jedn\u00e1 (sv\u00fdm jm\u00e9nem a ve sv\u00e9m osobn\u00edm z\u00e1jmu, p\u0159\u00edpadn\u011b v z\u00e1jmu t\u0159et\u00edch osob).<\/li>\n<li> \u00dadaje o nemovitosti v\u010detn\u011b jej\u00ed polohy, katastr\u00e1ln\u00edch \u010d\u00edsel, vlastn\u00edk\u016f atd.<\/li>\n<li> Cena obchodu a zp\u016fsob platby (po slo\u017een\u00ed z\u00e1lohy a p\u0159ed podpisem not\u00e1\u0159sk\u00e9ho z\u00e1pisu o prodeji lze platit z\u00e1lohy).<\/li>\n<li> V\u00fd\u0161e z\u00e1lohy a podm\u00ednky jej\u00edho p\u0159evodu kupuj\u00edc\u00edm na prod\u00e1vaj\u00edc\u00edho.<\/li>\n<li> Strany se zavazuj\u00ed, \u017ee transakce bude not\u00e1\u0159sky ov\u011b\u0159ena podpisem escritura de compraventa nejpozd\u011bji ve stanoven\u00e9 lh\u016ft\u011b.<\/li>\n<li> P\u0159ijet\u00ed n\u00e1klad\u016f a dan\u00ed spojen\u00fdch s n\u00e1kupem a prodejem stranami.<\/li>\n<li> Doba trv\u00e1n\u00ed smlouvy.<\/li>\n<li> Podpisy stran, datum a m\u00edsto podpisu smlouvy o seri\u00f3zn\u00edm jedn\u00e1n\u00ed.<\/li>\n<\/ul>\n<p> Po vz\u00e1jemn\u00e9 dohod\u011b stran a za ur\u010dit\u00fdch okolnost\u00ed m\u016f\u017ee b\u00fdt doba platnosti smlouvy o ulo\u017een\u00ed ve \u0160pan\u011blsku prodlou\u017eena. V tomto p\u0159\u00edpad\u011b je vypracov\u00e1n nov\u00fd dokument, kter\u00fd je p\u0159\u00edlohou d\u0159\u00edve podepsan\u00e9 smlouvy a ve kter\u00e9m je uvedena nov\u00e1 lh\u016fta a d\u016fvody jej\u00edho posunut\u00ed.<\/p>\n<h2> Nedodr\u017een\u00ed podm\u00ednek depozitn\u00ed smlouvy ve \u0160pan\u011blsku<\/h2>\n<p> Smlouva o vkladu nen\u00ed povinn\u00e1 pro proveden\u00ed, tzn. Ob\u011b strany maj\u00ed pr\u00e1vo odm\u00edtnout transakci s vyplacen\u00edm p\u0159im\u011b\u0159en\u00e9 kompenzace druh\u00e9 stran\u011b. Pokud kupuj\u00edc\u00ed poru\u0161\u00ed smluvn\u00ed povinnosti (nap\u0159. odm\u00edtne obchod, nedostav\u00ed se na obchod), p\u0159ich\u00e1z\u00ed o celou \u010d\u00e1stku z\u00e1lohy. T\u00edmto zp\u016fsobem se hrad\u00ed \u0161koda zp\u016fsoben\u00e1 prod\u00e1vaj\u00edc\u00edmu. Pokud prod\u00e1vaj\u00edc\u00ed poru\u0161\u00ed smluvn\u00ed povinnosti, bude nucen vr\u00e1tit kupuj\u00edc\u00edmu dvojn\u00e1sobek zaplacen\u00e9 z\u00e1lohy. Pokud prod\u00e1vaj\u00edc\u00ed najde nov\u00e9ho kupce ochotn\u00e9ho koupit jeho nemovitost za vy\u0161\u0161\u00ed cenu, nebo si to jednodu\u0161e rozmysl\u00ed a rozhodne se nemovitost neprodat, bude pro n\u011bj vypov\u011bzen\u00ed seri\u00f3zn\u00ed dohody s prvn\u00edm kupuj\u00edc\u00edm sankcionov\u00e1no. Okam\u017eit\u011b vyvst\u00e1v\u00e1 ot\u00e1zka: co d\u011blat, pokud kupuj\u00edc\u00ed pl\u00e1noval n\u00e1kup pomoc\u00ed vyp\u016fj\u010den\u00fdch prost\u0159edk\u016f (hypot\u00e9ka nebo spot\u0159ebitelsk\u00fd \u00fav\u011br), ale banka to odm\u00edtla. Smlouva o seri\u00f3zn\u00edch pen\u011bz\u00edch se podepisuje p\u0159ed v\u0161emi ostatn\u00edmi smlouvami a je sou\u010d\u00e1st\u00ed bal\u00edku dokument\u016f p\u0159edlo\u017een\u00fdch bance. Tito. Banka rozhoduje po podpisu smlouvy o vkladu a toto rozhodnut\u00ed nen\u00ed mo\u017en\u00e9 p\u0159edv\u00eddat. Aby byl kupuj\u00edc\u00ed chr\u00e1n\u011bn p\u0159ed ztr\u00e1tou z\u00e1lohy v p\u0159\u00edpad\u011b odm\u00edtnut\u00ed ze strany banky, mus\u00ed b\u00fdt tato podm\u00ednka jasn\u011b uvedena ve smlouv\u011b. Pokud je n\u00e1kup odm\u00edtnut, prod\u00e1vaj\u00edc\u00ed vr\u00e1t\u00ed z\u00e1lohu v jedin\u00e9 \u010d\u00e1stce: transakce je zru\u0161ena bez sankc\u00ed pro ob\u011b strany. Nen\u00ed-li tato podm\u00ednka ve smlouv\u011b uvedena, nen\u00ed prod\u00e1vaj\u00edc\u00ed povinen z\u00e1lohu vr\u00e1tit. Jak\u00e9koli spory t\u00fdkaj\u00edc\u00ed se smlouvy o vkladu ve \u0160pan\u011blsku by m\u011bly b\u00fdt nejprve vy\u0159e\u0161eny mimosoudn\u011b. Nejjednodu\u0161\u0161\u00ed zp\u016fsob je poslat Burofax druh\u00e9 stran\u011b. Pokud nen\u00ed mo\u017en\u00e9 spor vy\u0159e\u0161it sm\u00edrnou cestou, m\u016f\u017eete podat \u017ealobu u soudu.<\/p>\n<h2> Forma seri\u00f3zn\u00ed dohody o pen\u011bz\u00edch ve \u0160pan\u011blsku<\/h2>\n<p> Ve \u0160pan\u011blsku neexistuje \u017e\u00e1dn\u00fd p\u0159\u00edsn\u00fd formul\u00e1\u0159 pro smlouvu o vkladu. Na internetu je k dispozici velk\u00fd v\u00fdb\u011br bezplatn\u00fdch vzor\u016f, jejich\u017e text lze upravit tak, aby obsahoval po\u017eadovan\u00e9 podm\u00ednky. V \u017e\u00e1dn\u00e9m p\u0159\u00edpad\u011b nesm\u00ed podm\u00ednky smlouvy odporovat platn\u00e9 pr\u00e1vn\u00ed \u00faprav\u011b. Ve \u0160pan\u011blsku existuj\u00ed t\u0159i typy smluv o seri\u00f3zn\u00edch pen\u011bz\u00edch:<\/p>\n<ul>\n<li> <strong>Contrato de arras confirmatorias:<\/strong> v\u00fd\u0161e z\u00e1lohy se rovn\u00e1 cen\u011b transakce. Tito. Kupuj\u00edc\u00ed ihned zaplat\u00ed plnou cenu nemovitosti jako z\u00e1lohu. Tento typ smlouvy nen\u00ed upraven ustanoven\u00edmi ob\u010dansk\u00e9ho z\u00e1kon\u00edku, nelze ji tedy vypov\u011bd\u011bt a nelze ji napadnout a z\u00edskat n\u00e1hradu \u0161kody.<\/li>\n<li> <strong>Contrato de arras penales:<\/strong> stejn\u011b jako v p\u0159edchoz\u00edm p\u0159\u00edpad\u011b se tato smlouva ne\u0159\u00edd\u00ed ustanoven\u00edmi ob\u010dansk\u00e9ho z\u00e1kon\u00edku, nelze ji tedy vypov\u011bd\u011bt. Pokud prod\u00e1vaj\u00edc\u00ed odm\u00edtne obchod, m\u00e1 kupuj\u00edc\u00ed pr\u00e1vo po\u017eadovat bu\u010f dvojn\u00e1sobek z\u00e1lohy nebo dokon\u010den\u00ed obchodu. V p\u0159\u00edpad\u011b, \u017ee kupuj\u00edc\u00ed transakci odm\u00edtne, m\u00e1 prod\u00e1vaj\u00edc\u00ed pr\u00e1vo p\u0159ijatou z\u00e1lohu nevr\u00e1tit, p\u0159\u00edpadn\u011b po\u017eadovat po kupuj\u00edc\u00edm dokon\u010den\u00ed transakce.<\/li>\n<li> <strong>Contrato de arras penitenciales:<\/strong> tato smlouva se \u0159\u00edd\u00ed ustanoven\u00edmi ob\u010dansk\u00e9ho z\u00e1kon\u00edku, proto ji m\u016f\u017ee kter\u00e1koli smluvn\u00ed strana vypov\u011bd\u011bt za podm\u00ednek v n\u00ed uveden\u00fdch nebo podle ustanoven\u00ed z\u00e1kona. Jak jsme uvedli v\u00fd\u0161e, pokud je transakce zru\u0161ena vinou kupuj\u00edc\u00edho, ztr\u00e1c\u00ed vklad, kter\u00fd provedl. Pokud dojde ke zru\u0161en\u00ed transakce vinou prod\u00e1vaj\u00edc\u00edho, vrac\u00ed z\u00e1lohu kupuj\u00edc\u00edmu ve dvojn\u00e1sobn\u00e9 v\u00fd\u0161i.<\/li>\n<\/ul>\n<p> Pokud dojde ke zru\u0161en\u00ed transakce v d\u016fsledku odm\u00edtnut\u00ed \u00fav\u011bru ze strany banky a tato podm\u00ednka je stanovena ve smlouv\u011b, vr\u00e1t\u00ed prod\u00e1vaj\u00edc\u00ed kupuj\u00edc\u00edmu z\u00e1lohu v jedn\u00e9 v\u00fd\u0161i. Contrato de arras penitenciales je nejb\u011b\u017en\u011bj\u0161\u00ed a doporu\u010dovanou formou seri\u00f3zn\u00ed dohody o pen\u011bz\u00edch. Abyste p\u0159ede\u0161li nep\u0159\u00edjemn\u00fdm n\u00e1sledk\u016fm, doporu\u010dujeme sv\u011b\u0159it p\u0159\u00edpravu smlouvy o vkladu odborn\u00edk\u016fm.
