Registrace spole\u010dnosti ve \u0160pan\u011blsku je prvn\u00edm a d\u016fle\u017eit\u00fdm krokem k \u00fasp\u011b\u0161n\u00e9mu podnik\u00e1n\u00ed. Rozjet vlastn\u00ed podnik\u00e1n\u00ed nen\u00ed tak t\u011b\u017ek\u00e9, jak se na prvn\u00ed pohled m\u016f\u017ee zd\u00e1t. To vedlo k v\u00fdrazn\u00e9mu n\u00e1r\u016fstu po\u010dtu nov\u00fdch spole\u010dnost\u00ed a <a href=\"https:\/\/alegria-realestate.com\/ru\/articles\/support-for-startups-and-startup-accelerators-in-spain\">start-up\u016f.<\/a> Podle studie \u201eDemography of Entrepreneurship\u201c bylo v roce 2023 ve \u0160pan\u011blsku registrov\u00e1no 109 182 spole\u010dnost\u00ed, co\u017e p\u0159edstavuje n\u00e1r\u016fst o t\u00e9m\u011b\u0159 10 % oproti p\u0159edchoz\u00edmu roku. Pokud jste se tak\u00e9 rozhodli st\u00e1t se podnikatelem a uva\u017eujete o vlastn\u00edm podnik\u00e1n\u00ed, prozrad\u00edme v\u00e1m, jak spr\u00e1vn\u011b proj\u00edt procesem registrace spole\u010dnosti ve \u0160pan\u011blsku a vyhnout se zbyte\u010dn\u00e9 byrokratick\u00e9 z\u00e1t\u011b\u017ei. Tento krok je kriticky d\u016fle\u017eit\u00fd, proto\u017ee v\u00fdb\u011br formy ovlivn\u00ed mnoho aspekt\u016f v\u010detn\u011b: typu \u010dinnosti a odv\u011btv\u00ed, ve kter\u00e9m pl\u00e1nujete p\u016fsobit;<\/p>\n<ul>\n<li> Po\u010det zakladatel\u016f a jejich role:<\/li>\n<li> Finan\u010dn\u00ed pot\u0159eby a dostupnost kapit\u00e1lu:<\/li>\n<li> Odpov\u011bdnost zakladatel\u016f za z\u00e1vazky spole\u010dnosti;<\/li>\n<li> Zdan\u011bn\u00ed a fisk\u00e1ln\u011b-pr\u00e1vn\u00ed nuance.<\/li>\n<\/ul>\n<p> Ve \u0160pan\u011blsku existuje n\u011bkolik hlavn\u00edch forem pr\u00e1vnick\u00fdch osob, z nich\u017e nejobl\u00edben\u011bj\u0161\u00ed jsou akciov\u00e1 spole\u010dnost (Sociedad An\u00f3nima), spole\u010dnost s ru\u010den\u00edm omezen\u00fdm (Sociedad Limitada), dru\u017estvo a profesn\u00ed spole\u010dnost. Jednou z nejb\u011b\u017en\u011bj\u0161\u00edch forem pro mal\u00e9 podniky je spole\u010dnost s ru\u010den\u00edm omezen\u00fdm (Sociedad Limitada &#8211; SL). V tomto p\u0159\u00edpad\u011b je ru\u010den\u00ed zakladatele (resp. spoluzakladatel\u016f) omezeno pouze na vlo\u017een\u00fd kapit\u00e1l, co\u017e jej \u010din\u00ed atraktivn\u00edm pro mnoho podnikatel\u016f. Je-li volba u\u010din\u011bna ve prosp\u011bch jedin\u00e9ho vlastn\u00edka (aut\u00f3nomo), bude ru\u010den\u00ed neomezen\u00e9: podnikatel bude ru\u010dit za dluhy podniku sv\u00fdm osobn\u00edm majetkem. Za zv\u00e1\u017een\u00ed stoj\u00ed i mo\u017enost vytvo\u0159en\u00ed \u201eNov\u00e9 spole\u010dnosti s ru\u010den\u00edm omezen\u00fdm\u201c (Sociedad Limitada Nueva Empresa), kter\u00e1 zjednodu\u0161\u00ed postupy administrativn\u00ed registrace. Takovou spole\u010dnost lze zaregistrovat za pouh\u00fdch 48 hodin a tak\u00e9 vyu\u017e\u00edvat ur\u010dit\u00e9 da\u0148ov\u00e9 v\u00fdhody. Bez ohledu na va\u0161i volbu je d\u016fle\u017eit\u00e9 pe\u010dliv\u011b prozkoumat v\u0161echny dostupn\u00e9 pr\u00e1vn\u00ed formy, abyste vybrali tu, kter\u00e1 nejl\u00e9pe vyhovuje va\u0161im obchodn\u00edm c\u00edl\u016fm a pot\u0159eb\u00e1m.<\/p>\n<h2> V\u00fdb\u011br n\u00e1zvu pro pr\u00e1vnickou osobu<\/h2>\n<p> Podle \u00a7 413 \u0158\u00e1du o obchodn\u00edm rejst\u0159\u00edku not\u00e1\u0159 nem\u016f\u017ee schv\u00e1lit zakladatelskou smlouvu spole\u010dnosti bez p\u0159edlo\u017een\u00ed potvrzen\u00ed o tom, \u017ee zvolen\u00fd n\u00e1zev nen\u00ed zaps\u00e1n na jinou spole\u010dnost. Tito. Mus\u00edte zvolit jedine\u010dn\u00fd n\u00e1zev pro va\u0161i spole\u010dnost a z\u00edskat p\u0159\u00edslu\u0161n\u00e9 potvrzen\u00ed. Ofici\u00e1ln\u00ed n\u00e1zev spole\u010dnosti se v budoucnu objev\u00ed na v\u0161ech \u00fa\u0159edn\u00edch formul\u00e1\u0159\u00edch, ve smlouv\u00e1ch, v da\u0148ov\u00fdch rejst\u0159\u00edc\u00edch a dal\u0161\u00edch ofici\u00e1ln\u00edch datab\u00e1z\u00edch. Po v\u00fdb\u011bru vhodn\u00e9ho jm\u00e9na je nutn\u00e9 z\u00edskat tzv. \u201enegativn\u00ed certifik\u00e1t\u201c \u2013 certificaci\u00f3n negativa de empresa. Tento dokument potvrzuje, \u017ee zvolen\u00fd n\u00e1zev ji\u017e nepou\u017e\u00edv\u00e1 \u017e\u00e1dn\u00e1 existuj\u00edc\u00ed spole\u010dnost. Certifik\u00e1t je vyd\u00e1n Centr\u00e1ln\u00edm obchodn\u00edm registrem (Registro Mercantil Central) a rezervuje zvolen\u00fd n\u00e1zev pro va\u0161i spole\u010dnost po dobu 6 m\u011bs\u00edc\u016f. Pokud spole\u010dnost nebude v t\u00e9to dob\u011b registrov\u00e1na, pr\u00e1vo pou\u017e\u00edvat tento n\u00e1zev zanik\u00e1. Nejpohodln\u011bj\u0161\u00ed zp\u016fsob z\u00edsk\u00e1n\u00ed certifik\u00e1tu je online vypln\u011bn\u00edm formul\u00e1\u0159e na ofici\u00e1ln\u00edch str\u00e1nk\u00e1ch registru. Obdr\u017een\u00ed odpov\u011bdi obvykle trv\u00e1 n\u011bkolik pracovn\u00edch dn\u016f a\u017e dva t\u00fddny.<\/p>\n<h2> Vklad z\u00e1kladn\u00edho kapit\u00e1lu v z\u00e1vislosti na zvolen\u00e9 organiza\u010dn\u00ed a pr\u00e1vn\u00ed form\u011b<\/h2>\n<p> Z\u00e1kladn\u00ed kapit\u00e1l spole\u010dnosti je \u010d\u00e1stka, kterou zakladatel\u00e9 vlo\u017eili do z\u00e1kladn\u00edho kapit\u00e1lu podniku. V z\u00e1vislosti na zvolen\u00e9 pr\u00e1vn\u00ed form\u011b se mohou po\u017eadavky na minim\u00e1ln\u00ed autorizovan\u00fd kapit\u00e1l v\u00fdrazn\u011b li\u0161it.<\/p>\n<h3> Samostatn\u00ed podnikatel\u00e9 (Aut\u00f3nomos)<\/h3>\n<p> Chcete-li se zaregistrovat jako samostatn\u00fd podnikatel, nen\u00ed vy\u017eadov\u00e1no vlo\u017een\u00ed minim\u00e1ln\u00edho z\u00e1kladn\u00edho kapit\u00e1lu. Je v\u0161ak t\u0159eba p\u0159ipomenout, \u017ee ru\u010den\u00ed podnikatele je neomezen\u00e9, tzn. Za z\u00e1vazky podniku ru\u010d\u00ed sv\u00fdm osobn\u00edm majetkem. Registrovat se jako samostatn\u00fd podnikatel ve \u0160pan\u011blsku m\u016f\u017eete doslova za jeden den. Podnikatel\u00e9 z\u016fst\u00e1vaj\u00ed fyzick\u00fdmi osobami a jsou pl\u00e1tci dan\u011b z p\u0159\u00edjmu fyzick\u00fdch osob (IRPF). Tato da\u0148 je vyb\u00edr\u00e1na v progresivn\u00edm m\u011b\u0159\u00edtku. Je mo\u017en\u00e9, \u017ee v ur\u010dit\u00e9m okam\u017eiku bude nerentabiln\u00ed z\u016fstat samostatn\u00fdm podnikatelem. Pot\u00e9 bude mo\u017en\u00e9 zalo\u017eit spole\u010dnost, kter\u00e1 bude jako pr\u00e1vnick\u00e1 osoba pl\u00e1tcem dan\u011b z p\u0159\u00edjmu, jej\u00ed\u017e sazby se v pr\u016fm\u011bru pohybuj\u00ed od 15 do 25 %.<\/p>\n<h3> Spole\u010dnost s ru\u010den\u00edm omezen\u00fdm (Sociedad Limitada, SL)<\/h3>\n<p> Jedn\u00e1 se o jednu z nejobl\u00edben\u011bj\u0161\u00edch forem pr\u00e1vn\u00edho subjektu ve \u0160pan\u011blsku, zejm\u00e9na mezi mal\u00fdmi a st\u0159edn\u00edmi podniky. Podle nov\u00fdch legislativn\u00edch zm\u011bn je pro z\u00e1pis spole\u010dnosti s ru\u010den\u00edm omezen\u00fdm vy\u017eadov\u00e1n z\u00e1kladn\u00ed kapit\u00e1l ve v\u00fd\u0161i alespo\u0148 1 \u20ac. Po registraci je nutn\u00e9 kapit\u00e1l postupn\u011b navy\u0161ovat a\u017e na z\u00e1konn\u00e9 minimum 3 000 \u20ac. Spole\u010dn\u00edci spole\u010dnosti ru\u010d\u00ed omezen\u011b do v\u00fd\u0161e sv\u00fdch pod\u00edl\u016f na z\u00e1kladn\u00edm kapit\u00e1lu. Zakladateli spole\u010dnosti s ru\u010den\u00edm omezen\u00fdm mohou b\u00fdt jak \u0161pan\u011bl\u0161t\u00ed ob\u010dan\u00e9, tak cizinci, v\u010detn\u011b rezident\u016f i nerezident\u016f. \u0160pan\u011blsk\u00e9 pr\u00e1vo nerozli\u0161uje mezi zakladateli na z\u00e1klad\u011b jejich st\u00e1tn\u00ed p\u0159\u00edslu\u0161nosti nebo trval\u00e9ho pobytu, \u010d\u00edm\u017e zaji\u0161\u0165uje stejn\u00e1 pr\u00e1va a p\u0159\u00edle\u017eitosti pro v\u0161echny. To znamen\u00e1, \u017ee ka\u017ed\u00fd podnikatel bez ohledu na svou st\u00e1tn\u00ed p\u0159\u00edslu\u0161nost m\u016f\u017ee ve \u0160pan\u011blsku zalo\u017eit a \u00fasp\u011b\u0161n\u011b provozovat \u017eivnost p\u0159i dodr\u017een\u00ed stejn\u00fdch pr\u00e1vn\u00edch norem a po\u017eadavk\u016f pro v\u0161echny. Pokud spole\u010dnost s ru\u010den\u00edm omezen\u00fdm zalo\u017e\u00ed cizinec-nerezident, bude nutn\u00e9 jmenovat mana\u017eera, kter\u00fd m\u00e1 povolen\u00ed k pobytu s pr\u00e1vem pracovat ve \u0160pan\u011blsku. Zakladatel, i kdy\u017e m\u00e1 nad\u00e1le status nerezidenta, obdr\u017e\u00ed na konci finan\u010dn\u00edho roku p\u0159\u00edjem ve form\u011b dividend, p\u0159i\u010dem\u017e z nich zaplat\u00ed da\u0148 z p\u0159\u00edjmu nerezident\u016f.<\/p>\n<h3> Spole\u010denstv\u00ed Bienes<\/h3>\n<p> Pro vytvo\u0159en\u00ed partnerstv\u00ed je nutn\u00e9 sepsat soukromou smlouvu, kter\u00e1 bude specifikovat podrobnosti o podnik\u00e1n\u00ed, pod\u00edlech jednotliv\u00fdch \u00fa\u010dastn\u00edk\u016f a jejich vkladech (pen\u00edze nebo majetku). Nen\u00ed vy\u017eadov\u00e1n \u017e\u00e1dn\u00fd minim\u00e1ln\u00ed autorizovan\u00fd kapit\u00e1l.<\/p>\n<h3> dru\u017estvo (Cooperativa)<\/h3>\n<p> Dru\u017estvo mus\u00ed m\u00edt minim\u00e1ln\u011b t\u0159i \u010dleny. Z\u00e1kladn\u00ed kapit\u00e1l je ur\u010den ve stanov\u00e1ch dru\u017estva, ale n\u011bkter\u00e1 autonomn\u00ed spole\u010denstv\u00ed vy\u017eaduj\u00ed minim\u00e1ln\u00ed kapit\u00e1l ve v\u00fd\u0161i 1 800 EUR, z \u010deho\u017e 25 % mus\u00ed b\u00fdt splaceno p\u0159i registraci.<\/p>\n<h3> Akciov\u00e1 spole\u010dnost (Sociedad An\u00f3nima, SA)<\/h3>\n<p> K registraci akciov\u00e9 spole\u010dnosti je vy\u017eadov\u00e1n minim\u00e1ln\u00ed z\u00e1kladn\u00ed kapit\u00e1l ve v\u00fd\u0161i 60 000 EUR. Kapit\u00e1l je rozd\u011blen na akcie a \u00fa\u010dastn\u00edci osobn\u011b neru\u010d\u00ed za dluhy spole\u010dnosti.<\/p>\n<h2> Podepisov\u00e1n\u00ed zakl\u00e1daj\u00edc\u00edch dokument\u016f za p\u0159\u00edtomnosti not\u00e1\u0159e<\/h2>\n<p> Dal\u0161\u00edm krokem v procesu registrace spole\u010dnosti ve \u0160pan\u011blsku je vytvo\u0159en\u00ed a podeps\u00e1n\u00ed zakl\u00e1dac\u00edch dokument\u016f. Tyto listiny mus\u00ed b\u00fdt vyhotoveny ve form\u011b ve\u0159ejn\u00e9 listiny, kterou podepisuj\u00ed v\u0161ichni zakladatel\u00e9 spole\u010dnosti za p\u0159\u00edtomnosti not\u00e1\u0159e. Zakl\u00e1dac\u00ed listina spole\u010dnosti (Estatutos sociales) je nejd\u016fle\u017eit\u011bj\u0161\u00edm dokumentem upravuj\u00edc\u00edm jej\u00ed \u010dinnost, jako\u017e i pr\u00e1va, povinnosti a vztahy zakladatel\u016f. Not\u00e1\u0159 m\u016f\u017ee asistovat p\u0159i sepisov\u00e1n\u00ed stanov tak, aby vyhovovaly v\u0161em z\u00e1konn\u00fdm po\u017eadavk\u016fm a chr\u00e1nily z\u00e1jmy v\u0161ech stran. Charta mus\u00ed obsahovat:<\/p>\n<ul>\n<li> N\u00e1zev spole\u010dnosti zapsan\u00fd v \u017eivnostensk\u00e9m rejst\u0159\u00edku.<\/li>\n<li> Doba \u010dinnosti, kter\u00e1 m\u016f\u017ee b\u00fdt omezen\u00e1 nebo neur\u010dit\u00e1.<\/li>\n<li> C\u00edle \u010dinnosti, tzn. typy ekonomick\u00fdch \u010dinnost\u00ed, kter\u00fdmi se spole\u010dnost hodl\u00e1 zab\u00fdvat.<\/li>\n<li> Z\u00e1kladn\u00ed kapit\u00e1l, jeho velikost, po\u010det a jmenovit\u00e1 hodnota \u00fa\u010dastnick\u00fdch akci\u00ed.<\/li>\n<li> Omezen\u00ed akci\u00ed, tzn. jak\u00e9koli z\u00e1kazy nebo omezen\u00ed souvisej\u00edc\u00ed s vlastnictv\u00edm akci\u00ed spole\u010dnosti.<\/li>\n<li> Pravidla upravuj\u00edc\u00ed p\u0159evod vlastnictv\u00ed akci\u00ed.<\/li>\n<li> Registr \u00fa\u010dastn\u00edk\u016f, kde se zaznamen\u00e1vaj\u00ed ve\u0161ker\u00e9 zm\u011bny ve slo\u017een\u00ed \u00fa\u010dastn\u00edk\u016f a velikosti jejich pod\u00edl\u016f.<\/li>\n<li> Postup p\u0159i p\u0159evodu akci\u00ed mezi \u00fa\u010dastn\u00edky, jako\u017e i podm\u00ednky z\u0159izov\u00e1n\u00ed z\u00e1stav \u010di jin\u00fdch v\u011bcn\u00fdch b\u0159emen k akci\u00edm.<\/li>\n<li> Pravidla pro svol\u00e1v\u00e1n\u00ed a kon\u00e1n\u00ed valn\u00fdch a mimo\u0159\u00e1dn\u00fdch hromad, jako\u017e i postup hlasov\u00e1n\u00ed.<\/li>\n<li> Stanovy mus\u00ed obsahovat \u00fadaje o form\u011b veden\u00ed spole\u010dnosti: m\u016f\u017ee to b\u00fdt jedin\u00fd jednatel, kolegi\u00e1ln\u00ed \u0159editel\u00e9 (solidarios\/mancomunados) nebo p\u0159edstavenstvo. Rovn\u011b\u017e je nutn\u00e9 up\u0159esnit postup odm\u011b\u0148ov\u00e1n\u00ed vedouc\u00edch pracovn\u00edk\u016f.<\/li>\n<li> Je-li \u0159\u00edzen\u00ed prov\u00e1d\u011bno prost\u0159ednictv\u00edm p\u0159edstavenstva, mus\u00ed stanovy obsahovat pravidla jeho fungov\u00e1n\u00ed.<\/li>\n<li> Ve spole\u010densk\u00e9 smlouv\u011b mus\u00ed b\u00fdt uvedeno, kdo a v jak\u00fdch p\u0159\u00edpadech m\u00e1 pr\u00e1vo spole\u010dnost zastupovat p\u0159ed t\u0159et\u00edmi osobami.<\/li>\n<li> Charta mus\u00ed stanovit po\u010d\u00e1te\u010dn\u00ed a koncov\u00e9 datum finan\u010dn\u00edho roku, jako\u017e i postup pro p\u0159\u00edpravu a schvalov\u00e1n\u00ed v\u00fdro\u010dn\u00edch zpr\u00e1v.<\/li>\n<li> Zakl\u00e1dac\u00ed listina mus\u00ed stanovit postup p\u0159i zru\u0161en\u00ed spole\u010dnosti a likvidaci jej\u00edho majetku.<\/li>\n<li> Podepisov\u00e1n\u00ed ustavuj\u00edc\u00edch dokument\u016f prob\u00edh\u00e1 za p\u0159\u00edtomnosti not\u00e1\u0159e. P\u0159i podpisu mus\u00ed b\u00fdt osobn\u011b p\u0159\u00edtomni v\u0161ichni zakladatel\u00e9 spole\u010dnosti nebo delegovat svou pravomoc prost\u0159ednictv\u00edm pov\u011b\u0159en\u00e9ho z\u00e1stupce. Not\u00e1\u0159 potvrzuje, \u017ee byly spln\u011bny v\u0161echny nezbytn\u00e9 podm\u00ednky a dokumenty byly podeps\u00e1ny v souladu se \u0161pan\u011blsk\u00fdm pr\u00e1vem.<\/li>\n<li> K podpisu zakl\u00e1dac\u00ed listiny spole\u010dnosti (Escritura p\u00fablica de constituci\u00f3n) jsou vy\u017eadov\u00e1ny n\u00e1sleduj\u00edc\u00ed dokumenty:<\/li>\n<li> Osv\u011bd\u010den\u00ed z centr\u00e1ln\u00edho \u017eivnostensk\u00e9ho rejst\u0159\u00edku s uveden\u00edm n\u00e1zvu spole\u010dnosti.<\/li>\n<li> Bankovn\u00ed certifik\u00e1t potvrzuj\u00edc\u00ed, \u017ee z\u00e1kladn\u00ed kapit\u00e1l spole\u010dnosti byl slo\u017een na bankovn\u00ed \u00fa\u010det v souladu se z\u00e1konem.<\/li>\n<li> Dokumenty potvrzuj\u00edc\u00ed toto\u017enost zakladatel\u016f.<\/li>\n<li> Charta spole\u010dnosti.<\/li>\n<li> Z\u00edsk\u00e1n\u00ed da\u0148ov\u00e9ho \u010d\u00edsla spole\u010dnosti<\/li>\n<li> Po dokon\u010den\u00ed v\u0161ech nezbytn\u00fdch postup\u016f pro registraci spole\u010dnosti ve \u0160pan\u011blsku je dal\u0161\u00edm d\u016fle\u017eit\u00fdm krokem z\u00edsk\u00e1n\u00ed da\u0148ov\u00e9ho \u010d\u00edsla (NIF). Toto \u010d\u00edslo je povinn\u00e9 pro v\u0161echny fyzick\u00e9 a pr\u00e1vnick\u00e9 osoby provozuj\u00edc\u00ed obchodn\u00ed \u010dinnost.
